Agreement to Terms
By accessing or using the KAF Worldwide website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms apply to all visitors, users, and others who access or use our services.
Description of Services
KAF Worldwide provides B2B leather goods manufacturing services, including but not limited to:
- Custom leather product design and manufacturing
- Private label and white-label services
- Bulk order fulfillment
- Product consultation and sampling
- Quality control and inspection services
- Shipping and logistics coordination
Eligibility and Account Registration
Eligibility: Our services are intended for business entities and commercial customers. You must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of your business.
Account Registration: Certain features may require account registration. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Orders and Payment Terms
Order Process
- All orders are subject to acceptance by KAF Worldwide
- We reserve the right to refuse or cancel any order at our discretion
- Order confirmations will be sent via email
- Minimum order quantities (MOQ) may apply
Pricing
- All prices are quoted in the currency specified and are subject to change without notice
- Prices do not include taxes, duties, or shipping costs unless otherwise stated
- Bulk pricing may be available for large orders
Payment Terms
- Payment terms will be specified in individual order agreements
- Standard terms: 50% deposit upon order confirmation, 50% before shipment
- We accept payment via bank transfer, credit card, or other agreed methods
- Late payments may incur interest charges
Production and Delivery
Lead Times
Production lead times will be specified in order confirmations. While we strive to meet all deadlines, lead times are estimates and may vary based on order complexity, material availability, and production capacity.
Shipping and Delivery
- Shipping terms (FOB, CIF, DDP) will be specified in order agreements
- Risk of loss transfers to buyer upon delivery to carrier (unless otherwise agreed)
- Buyer is responsible for import duties, taxes, and customs clearance
- Delivery dates are estimates and not guaranteed
Inspection and Acceptance
Buyer must inspect goods within 7 days of receipt and notify us of any defects or non-conformities. Failure to notify within this period may constitute acceptance of the goods.
Intellectual Property
Our Intellectual Property: All content on our website, including designs, logos, text, graphics, and software, is the property of KAF Worldwide and protected by intellectual property laws.
Your Intellectual Property: You retain ownership of any designs, logos, or branding you provide to us. By providing such materials, you grant us a license to use them solely for the purpose of fulfilling your order.
Prohibited Use: You may not copy, reproduce, distribute, or create derivative works from our intellectual property without written permission.
Warranties and Disclaimers
Product Warranty
We warrant that products will conform to agreed specifications and be free from material defects in workmanship for a period of 12 months from delivery. This warranty does not cover normal wear and tear, misuse, or modifications.
Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAF WORLDWIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.
Returns and Cancellations
Cancellation: Orders may be cancelled within 48 hours of confirmation. Cancellations after production begins may incur charges for work completed and materials ordered.
Returns: Custom-made products are generally non-returnable unless defective. Returns must be authorized in advance and returned in original condition. Standard return policies apply to stock items.
Defective Products: We will replace or repair defective products at no charge, subject to our warranty terms.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes product designs, pricing, business strategies, and other sensitive information. Confidentiality obligations survive termination of these Terms.
Indemnification
You agree to indemnify, defend, and hold harmless KAF Worldwide, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another.
Termination
We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive.
Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Dispute Resolution: Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or website notice. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
